US LLC for Amazon Sellers Outside the US

A US LLC for Amazon sellers gives you a company, an EIN and a US address to use during Seller Central setup. It does not replace Amazon’s own checks or your tax duties.

What you get

QUICK ANSWER

Do I need a US LLC to sell on Amazon?

No, Amazon does not require every seller to have a US LLC. Many non-resident sellers still form one to sell as a business, hold an EIN, protect personal assets and prepare for Brand Registry. Amazon verifies identity and business details itself, so an LLC helps your application but cannot guarantee approval.

An Amazon seller account is a business relationship. Amazon asks for identity documents, a bank or payout method, a credit card and business details. Selling through an LLC lets you register as a company instead of an individual, and keeps stock, supplier contracts and liabilities under a business name.

Liability matters in physical products. If a product causes harm or a dispute arises, an LLC can help keep business claims separate from your personal assets, although protection depends on how you run the company and on the law. A qualified adviser can explain the limits.

Amazon’s requirements change, so always read the current Seller Central help pages. In general, expect to provide a government ID, proof of address, bank or payout details, a chargeable card and business information. Verification can include video or document review.

Your LLC documents, EIN letter and a consistent business address make this smoother. Mismatched names or addresses between documents are a common reason for delays. FenFile helps you prepare clean company documents, but Amazon makes every decision.

Taxes for sellers are layered and depend on where you sell, where inventory sits and where you live. A foreign-owned single-member LLC generally has to file Form 5472 with a pro forma Form 1120 each year if it has reportable transactions, and the penalty for missing it starts at $25,000.

Sales tax, marketplace rules, import duties and home-country tax are separate topics. We do not give tax advice, so please speak to a qualified US tax adviser and a local adviser before you ship inventory.

Does an LLC remove US tax?

No. It changes how the business is structured and reported. Whether you owe tax depends on your facts.

What about my home country?

Your home country may tax your income and have rules on foreign companies. Confirm locally.

Amazon pays out to bank accounts it supports, and many sellers use a US bank account or a multi-currency account such as Wise Business or Payoneer. Eligibility depends on each provider, and requirements change. Our Growth plan includes guidance on Wise, Payoneer and Stripe setup and on the bank application process.

Ask the provider whether your business type and country are supported before you build your plan around them.

Amazon Brand Registry is a program for brand owners. It generally requires a trademark that is registered or pending in a supported office, though program rules change, so read Amazon’s current terms. Many sellers form the LLC first and then file the trademark in the LLC’s name.

FenFile offers a trademark search add-on to help you check for obvious conflicts. We do not file trademarks or give legal advice.

FAQ

Questions founders ask us

Can’t find your answer? Our team replies on WhatsApp and email.

Often yes, but Amazon decides. It checks identity, address, bank and business details, and rules vary by marketplace and change over time. An LLC gives you proper company documents to submit, but it is not a guarantee.

There is no single best state. Wyoming is popular for low fees, with a $100 filing fee and a $60 minimum annual report. Delaware suits investor plans. Sales tax and inventory location matter separately, so ask an adviser.

Amazon commonly asks for tax information, and an EIN helps for a US company. The IRS issues EINs free. Without an SSN you apply on Form SS-4 by fax, mail or phone. Check Amazon’s current tax interview requirements.

No. An LLC is a legal structure, not a tax shield for customs or sales tax. These rules depend on your products and routes. Please speak to a qualified adviser and your freight provider.

No. We form the LLC, support your EIN and guide your bank and payment setup. You apply for Seller Central yourself, and Amazon approves it. We can explain which documents to prepare.

No, you can start selling without one. Brand Registry generally needs a registered or pending trademark. Our trademark search add-on checks for conflicts, and a qualified attorney should handle filing.
