LLC annual compliance for non-residents means keeping state, federal and agent requirements current so your company stays in good standing. Here is a plain checklist and the dates that matter.
It usually means a state annual report or tax (such as Wyoming’s report, Delaware’s $400 tax due June 1 or Florida’s report due by May 1), registered agent renewal, and federal filings like Form 5472 where it applies. Requirements vary by state, so check your state’s official site.
Verified figures only — sources are listed at the foot of this page.
$400 annual LLC tax, due June 1
Annual report, minimum $60, due first day of anniversary month
Annual report $138.75, due January 1 to May 1
Franchise tax and Public Information Report, due May 15
No annual report for LLCs (verify at sos.nm.gov)

Compliance keeps your LLC in good standing. That status shows the state that the company is active and current. Banks, payment platforms and clients often ask for proof of it.
Falling behind can cost you late fees, administrative dissolution or trouble with accounts. Because you live abroad, an official notice is easy to miss, which is why a calendar and a reliable registered agent matter.
Each state sets its own rule. These are the ones we verified:
A foreign-owned single-member LLC generally files Form 5472 with a pro forma Form 1120 each year if it has reportable transactions, even with no income. The penalty for failing to file starts at $25,000.
Beneficial ownership reporting under FinCEN has changed over time, so check fincen.gov for the current requirements instead of relying on older articles. Ask a qualified adviser about any home-country filings as well.
A calendar turns scattered deadlines into a routine. Here is a simple template built from the dates above. Replace the state lines with your own state.
Early in the year, check Florida’s January 1 to May 1 window if you hold a Florida LLC, and start collecting your financial records for any federal and Texas filings. Spring is busy because of Texas’s May 15 deadline and Florida’s May 1 cutoff.
Mid-year, Delaware’s June 1 tax is the key date. Wyoming’s deadline moves with your anniversary month, so set a recurring reminder for that date. At year end, review your agent renewal, update your records and gather documents for your preparer.
Get your EIN, sign your operating agreement, save your formation documents and add every deadline to your calendar.
Reconcile your accounts, record owner transfers and check that your registered agent has your current contact details.
Your registered agent must stay active and keep a physical address in your formation state. If the agent lapses or resigns, the state can treat the company as out of compliance.
In FenFile plans the first year is included. After that it renews yearly. Keep your contact details current so forwarded legal notices reach you quickly.
Most compliance trouble comes from a small set of repeat errors. They are easy to avoid once you know them.
The most expensive is missing Form 5472 because the company had no income. The second is letting the registered agent lapse. The third is mixing personal and business money, which makes reporting harder and can weaken the separation that an LLC is meant to provide.
Start by listing every deadline for your state and the IRS, then set reminders at least a month ahead. Keep a folder with your formation documents, EIN letter, operating agreement and past filings.
Review your records once a year and update the state if your address, agent or ownership changes. Our Growth plan includes a compliance calendar, and annual compliance support is an optional add-on. Get a certificate of good standing when a bank or partner asks.

Penalties vary by state. They can include late fees and, if you stay delinquent, administrative dissolution. Fixing a dissolved LLC costs more than filing on time, so set reminders and act quickly if you miss one.
No. Wyoming, Florida and Delaware (as a tax) have yearly requirements, and Texas requires a franchise tax report. New Mexico, as last checked, has no annual report for LLCs. Always verify on the state site.
Often yes for reporting. A foreign-owned single-member LLC with reportable transactions generally files Form 5472 with a pro forma Form 1120 even with no income. States may also require reports or taxes regardless of income.
It is an official document from the state showing the LLC is current on its filings and fees. Banks, marketplaces and partners sometimes ask for one. FenFile offers it as an optional add-on.
Your registered agent receives legal and official state mail and forwards it. This is why a reliable agent with current contact details for you is part of staying compliant.
