Florida LLC for Non-Residents: Costs, Annual Report and Fit

A Florida LLC for non-residents makes most sense when you have real ties to Florida or its market. Here are the filing costs, the yearly report and the cases where a cheaper state is better.

What you get

QUICK ANSWER

How does a Florida LLC for non-residents work?

Yes. A non-resident can own a Florida LLC with no US visa or SSN. The state filing is $125, which includes the registered agent designation fee. Florida also requires an annual report, due January 1 to May 1, which costs $138.75 for LLCs. A late fee applies if you miss the window.

Florida is rarely the cheapest option for a founder abroad. It makes sense when Florida is part of your business: customers, suppliers, property, a partner who lives there or plans to open an office. In those cases a local entity can look natural to clients and local banks.

If none of that applies, compare Wyoming or New Mexico first. They usually cost less to keep up.

The state filing fee is $125, which includes the fee for designating a registered agent. Each year the LLC files an annual report with the Florida Division of Corporations through Sunbiz, the state’s business filing site. The fee for LLCs is $138.75.

Plan your date early. The window runs from January 1 to May 1, and a late fee applies if you file after May 1. Verify current amounts on dos.fl.gov before filing.

Registered agent service is extra after the first year in FenFile plans, and our annual compliance add-on can handle reminders and filing.

Florida requires every LLC to name a registered agent with a physical street address in the state. The agent accepts legal documents and official mail. The $125 filing fee includes the fee for designating the agent, but you still pay your agent for the service itself.

A reliable agent is more important in Florida because of the annual report window. Notices from the state, including reminders, go to the agent and the company’s listed email. Make sure both reach you.

Can a PO box be my Florida address?

No. The registered office must be a street address in Florida, not a PO box.

Can I use a mailing address as a principal address?

Many founders use a shared or virtual address for the company mailing address. Ask our team which option fits your plan and your bank.

The annual report confirms your company’s address, registered agent and the people who manage it. It keeps the LLC active on the state record. Skipping it can lead to administrative dissolution, which is far more painful to fix than to prevent.

Because you live abroad, update Sunbiz whenever your contact details change. Official notices go to your registered agent, so make sure they have a reliable way to reach you.

Compare these points against your own plans:

Florida has a $125 filing fee and a $138.75 yearly report fee. Wyoming has a $100 filing fee and an annual report that starts at $60. New Mexico has a $50 filing fee and, as last checked, no annual report.

On a pure cost basis, Florida comes third. It earns its place when Florida is a real part of your business. If it is not, the extra yearly amount buys you very little, because federal rules and bank requirements are the same everywhere.

Whichever you pick, put the key dates in a calendar. A late Florida report carries a fee, and repeated lateness can cost you the company.

Apply for your EIN. The IRS issues it free, and non-residents with no SSN use Form SS-4 by fax, mail or phone. Then sign an operating agreement and start the banking or payments process.

Banks and payment platforms make their own decisions, and Stripe in particular does not support businesses based in Pakistan directly. Some founders apply through a US LLC with a US bank and address, but approval is never promised.

Check whether your home country taxes the LLC, and speak to a qualified tax adviser. FenFile is not a law firm or tax adviser.

Florida has no state personal income tax, but corporate rules and federal reporting differ by structure. Ask a qualified tax adviser how an LLC owned by a non-resident is treated in your case.
